Welcome to WonderKit. These Terms of Service (the “Terms”) form a binding agreement between you and SpiceFactory, LLC, a Delaware limited liability company with its principal place of business at 100 Cambridge Street, 14th Floor, Boston, MA 02114 (“SpiceFactory,” “we,” “us,” or “our”), and govern your access to and use of WonderKit — our trip-planning and local-discovery service available at wonderkit.app and related mobile or web experiences (the “Service”). Please read them carefully. By creating an account, signing in, clicking “I agree,” or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. Sections 16 and 17 contain a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. You have the right to opt out of arbitration as described in Section 17.
1.Eligibility, accounts, and authority
You must be at least 18 years old to create a WonderKit account. By creating an account you represent that you meet that requirement, that the information you provide is accurate, and that you have the legal capacity to enter into this agreement. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@wonderkit.app if you suspect unauthorized access.
Adults may include their minor children in trip plans and invite family members into their groups. Children under 13 may not create their own WonderKit accounts; minimum digital-consent ages in the EEA, UK, and other jurisdictions may be higher (up to 16). If you add information about another person — including a child, a partner, or a travel companion — you represent that you have the authority and, to the extent required by law, have obtained the consents necessary to do so. You are responsible for that person’s information while it is in your account.
2.Your license to use the Service
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial travel-planning purposes. All rights not expressly granted are reserved by SpiceFactory.
3.Acceptable use
Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Without limiting that policy, you agree not to:
- Violate any applicable law, regulation, or third-party right;
- Upload, post, or share content that is unlawful, harassing, defamatory, obscene, hateful, or that infringes intellectual-property, privacy, or publicity rights;
- Use the Service to impersonate any person or entity or misrepresent your affiliation with a person or entity;
- Attempt to interfere with, disrupt, reverse-engineer, probe, or gain unauthorized access to the Service, our systems, or other users’ accounts;
- Use scrapers, bots, crawlers, or other automated means beyond documented APIs, or exceed documented or reasonable rate limits;
- Resell, sublicense, or commercially exploit the Service or AI Output (defined below) without our prior written consent;
- Use the Service or AI Output to develop, train, fine-tune, evaluate, or benchmark any artificial-intelligence model that competes with our or our providers’ services;
- Use the Service to generate content that is illegal, sexually exploitative of minors, harmful to others, deceptive, or that violates any AI sub-processor’s usage policies;
- Submit sensitive personal information — such as government identification numbers, payment card data, or health records — through chat or other free-text inputs.
4.User content
You retain ownership of the content you submit to the Service — trip notes, itineraries, photos, comments, votes, documents, and similar material (“User Content”). By submitting User Content, you grant SpiceFactory a worldwide, royalty-free, sublicensable (to our sub-processors as needed) license to host, store, reproduce, modify (for formatting, display, and necessary translation), transmit, and display that content solely as needed to operate, secure, and improve the Service, and to provide it to the other members of your travel group or, where you explicitly choose to share a trip publicly, to the people you share it with. This license ends when you delete your User Content or your account, except for copies retained in backups for a limited time, copies retained as required by law, and any copies that your group members have already received.
You represent and warrant that (a) you have all rights necessary to submit your User Content, (b) its submission and use by us as described here will not infringe any third-party right, and (c) you have obtained any consents required to include information about other people.
5.AI-generated content
WonderKit uses third-party large-language-model providers to generate itineraries, recommendations, summaries, and other content in response to your inputs (“AI Output”). AI Output is produced algorithmically.
- Not professional advice. AI Output is provided for convenience only. It does not constitute travel, medical, legal, financial, safety, visa, or immigration advice. Always verify critical information — opening hours, visa requirements, prices, safety conditions, allergy and health guidance, accessibility — against authoritative sources before relying on it.
- Hallucinations. AI Output can be inaccurate, incomplete, or fabricated. Venues, events, prices, and details may not exist, may have changed, or may not correspond to reality. You are responsible for checking before you book, travel, or rely on any recommendation.
- Ownership; non-uniqueness. As between you and SpiceFactory, we assign to you all right, title, and interest we have in the AI Output generated in response to your inputs, to the extent permitted by applicable law and the terms of our AI sub-processors. AI Output is not unique to you: similar or identical outputs may be generated for other users. We make no representation about the copyrightability of AI Output.
- No training on your content. We do not use your User Content or AI conversations to train our own or any third-party foundation models, and we transmit data to AI providers only through enterprise endpoints whose terms prohibit such use.
- Disclosure. You are interacting with an artificial-intelligence system; content generated by WonderKit’s assistant is AI-generated. You must not represent AI Output as human-authored in any context where that could deceive a reader — including for academic, journalistic, or regulated purposes.
- Prompt-injection risk. Third-party content we ingest on your behalf (for example, URLs or pasted text) may contain instructions that attempt to alter AI behavior. We take reasonable measures to mitigate this risk but cannot guarantee it is eliminated.
- Feature changes and deprecation. AI features, models, and providers evolve rapidly. We may change, retrain, swap, or deprecate models with reasonable notice where practicable. We do not guarantee that any specific model will remain available.
6.Groups, collaborators, and shared trips
WonderKit is collaborative. When you join a group, other members can see your profile, itinerary contributions, votes, comments, documents you store in the group’s Document Hub, and expenses you log inside that group. Shared AI conversations may be read by every member of the relevant group. When you create a trip share link, story page, or public profile, anyone with the URL may view the shared content until you revoke the link. You are responsible for deciding what to share and with whom, and for obtaining any consents required to share information about third parties (for example, photos of other family members).
7.Subscriptions, billing, auto-renewal, and cancellation
WonderKit offers a Free tier and paid subscription tiers (currently Plus and Pro), billed monthly or annually. Subscriptions are sold on a per-group basis and entitle all members of that group to the subscribed tier’s features. The current prices, features, and limits are listed at /pricing.
a. Automatic renewal
Your subscription will automatically renew at the end of each billing cycle. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method the then-current fees for each renewal period (plus any applicable taxes) until you cancel. The renewal period equals the billing cycle you selected (monthly or annually). You can view the renewal date and manage your subscription at any time from your settings.
b. How to cancel
You can cancel online at any time from your WonderKit account settings, in the same number of steps as signing up, without calling us or writing a letter. Cancellations take effect at the end of the current paid period; your group returns to the Free tier afterward. You remain responsible for any amount already accrued for the current period.
c. Refunds
Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partially used periods. We may, at our discretion, provide refunds or credits in cases of demonstrable service failure.
d. EU, EEA, and UK consumers — right of withdrawal
If you are a consumer resident in the EU, EEA, or UK, you have a 14-day right to withdraw from a paid subscription without giving a reason. To exercise it, email us at support@wonderkit.app before the 14 days expire. However, by starting to use a paid feature during the withdrawal period, you expressly request immediate performance and acknowledge that you lose the right of withdrawal once the digital service has been fully supplied; if the service has been only partially supplied, you will be charged for the portion actually provided. This does not affect your statutory consumer rights.
e. Price changes, free trials, and taxes
- Price changes. We may change prices or introduce new fees. We will give you reasonable advance notice by email or in-app; new pricing takes effect at your next renewal. If you do not accept the change, cancel before the renewal date.
- Free trials and promotions. We currently do not offer a free trial. If we introduce one, its terms (duration, conversion price, and cancellation deadline) will be disclosed at sign-up and — where required by law — confirmed to you by email.
- Taxes. Fees are exclusive of VAT, GST, sales, and other taxes, which we will add to your invoice where required.
- Failed payments. If a charge fails, we may retry and may downgrade your group to the Free tier until payment succeeds.
8.Beta and experimental features
We may identify certain features as “beta,” “preview,” “experimental,” or similar. Beta features are provided as-is, may change or be discontinued at any time, may contain bugs or errors, and are not covered by any service-level commitment. Feedback on beta features is especially welcome and governed by Section 11.
9.Intellectual property
The Service — including its software, design, text, graphics, logos, and trademarks — is owned by SpiceFactory or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers any rights to you except the limited license expressly granted in Section 2. “WonderKit” and the WonderKit logo are trademarks of SpiceFactory, LLC. You may not use them without our prior written permission.
10.Copyright and DMCA notices
We respect copyright and respond to valid notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA) and equivalent laws. If you believe content on the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. §512(c)(3) to our designated DMCA agent:

We will respond to valid notices and may remove or disable access to content we reasonably believe infringes. If you believe your content was removed in error, you may submit a counter-notice containing the elements required by §512(g). We terminate the accounts of repeat infringers in appropriate circumstances. Submitting a false notice may expose you to liability for damages and attorneys’ fees under §512(f).
11.Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback for any purpose without obligation or compensation to you.
12.Third-party services and content
The Service integrates with third-party providers (including Google, Anthropic, xAI, OpenAI, Stripe, and mapping and data providers) and surfaces third-party content such as event listings, venue data, photos, and prices. We do not own, operate, inspect, endorse, or guarantee any venue, event, activity, accommodation, or third-party service referenced in the Service. References to real businesses or persons are informational and do not imply endorsement by or affiliation with those parties. Your use of third-party services is governed by the relevant third party’s terms and privacy practices, and we are not responsible for their acts or omissions — including any personal injury, illness, cancellation, delay, loss, or damage you may suffer.
13.Suspension, termination, and account deletion
You may stop using the Service and delete your account at any time from your settings or by emailing support@wonderkit.app. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or our Acceptable Use Policy, created risk or legal exposure for us or other users, or if we discontinue the Service. If your subscription is terminated for cause, any prepaid fees for the remainder of the period are forfeited to the extent permitted by law.
On termination, the licenses granted to you end immediately. Sections that by their nature should survive termination will survive, including Sections 4 (your content license to us for items you have already shared), 5 (AI content), 9 (IP), 11 (feedback), 14 (disclaimers), 15 (limitation of liability), 16 (indemnity), 17 (dispute resolution), and 18 (general).
14.Disclaimers
Important legal notice
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT ANY RECOMMENDATION, AI OUTPUT, PRICE, OR VENUE DATA WILL BE ACCURATE, CURRENT, OR SUITABLE FOR YOUR CIRCUMSTANCES. YOU USE THE SERVICE AT YOUR OWN RISK.
WonderKit is not a travel agency, tour operator, booking platform, insurer, or licensed travel advisor. We do not sell flights, accommodations, activities, insurance, or transportation, and we do not guarantee the availability, quality, safety, legality, or pricing of any third-party venue, event, or service referenced in the Service.
Some jurisdictions do not allow the disclaimer of implied warranties, so parts of this Section may not apply to you; in those jurisdictions, our warranties are limited to the greatest extent permitted by law.
15.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPICEFACTORY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, gross negligence, or willful misconduct. If you are a consumer in the EU, EEA, UK, Switzerland, Australia, or another jurisdiction that grants non-waivable consumer rights, the limitations in this Section apply to you only to the extent permitted by the applicable consumer-protection law, and your statutory rights remain unaffected.
16.Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SpiceFactory and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your User Content, (b) your use of the Service, (c) your breach of these Terms or our Acceptable Use Policy, or (d) your violation of any third-party right, including any right of another person whose information you included in the Service.
17.Dispute resolution; arbitration; class-action waiver
Please read carefully — this affects your legal rights
a. Informal resolution first
Before starting any formal proceeding, you agree to contact us at legal@wonderkit.app and describe the dispute, the relief sought, and your contact information. You and we agree to try in good faith to resolve the dispute for at least 60 days after notice. Any statute of limitations is tolled during this period.
b. Binding arbitration
If informal resolution fails, you and SpiceFactory agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the validity of this arbitration agreement — will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Boston, Massachusetts, or, if you prefer, by telephone, videoconference, or on written submissions; you may also bring a claim in your county of residence if the AAA rules permit. The arbitrator will have exclusive authority to resolve the dispute and may award any relief available in court, subject to these Terms. Judgment on the award may be entered in any court of competent jurisdiction.
c. Class-action and jury-trial waiver
You and SpiceFactory agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. The arbitrator may not consolidate claims, and may award relief only in favor of the individual party. Each party waives the right to a jury trial.
d. Carve-outs
This arbitration agreement does not require arbitration of:
- claims that qualify for small-claims court (subject to its jurisdictional limits);
- claims to enforce, protect, or seek provisional or injunctive relief for intellectual-property rights (including trademark, trade secret, copyright, and patent);
- claims that cannot be arbitrated as a matter of law, including claims by EU, EEA, UK, Australian, or other consumers whose non-waivable rights require access to their local courts;
- government-enforcement actions; and
- challenges to the class-action waiver itself, which will be decided by a court.
e. 30-day opt-out
You may opt out of this Section 17 by emailing legal@wonderkit.app within 30 days of first agreeing to these Terms, with your full name, account email, and the statement “I opt out of the WonderKit arbitration agreement.” Opting out does not affect any other part of these Terms.
f. Governing law and courts
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Any claim not subject to arbitration will be resolved exclusively in the state or federal courts located in Delaware or Boston, Massachusetts, and each party consents to personal jurisdiction and venue there. If you are a consumer, this Section does not deprive you of the protection of non-waivable provisions of the law of the country in which you habitually reside.
18.Export controls and sanctions
You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive U.S. embargoes or sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions of Ukraine), and that you are not on the U.S. Treasury Department’s Specially Designated Nationals List, the U.S. Commerce Department’s Denied Persons List or Entity List, or any equivalent list maintained by the EU, the UK, or the UN. You will not use or export the Service in violation of any applicable export-control or sanctions law.
19.Electronic communications and E-SIGN consent
By creating an account, you consent to receive communications from us electronically — by email, in-app message, or push notification — including notices related to these Terms, your subscription, and security. Electronic communications satisfy any legal requirement that a communication be in writing, including under the U.S. Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.). You can withdraw consent only by closing your account; doing so will end your right to use the Service.
20.Changes to the Service or these Terms
We may update the Service from time to time, including adding, removing, or changing features. We may also update these Terms. If we make material changes, we will notify you by email or through an in-app notice before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
21.General
- Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any written order form, are the entire agreement between you and SpiceFactory regarding the Service.
- Severability; reformation. If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force. A court may reform an unenforceable provision to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets without restriction.
- No third-party beneficiaries. These Terms do not create any rights for third parties.
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, pandemic, war, labor disputes, cyberattacks, internet or cloud-service outages, or acts of government.
- Headings. Section headings are for convenience and have no legal effect.
